1. Introduction and Acceptance

These Terms and Conditions (“Terms”, “Agreement”) constitute a legally binding contract between you (“Client”, “Investor”, “User”, “you”) and AlgoTradingSoftware.net (“Company”, “System”, “we”, “our”, “us”), operating from Dubai, United Arab Emirates.

By accessing our website at algotradingsoftware.net, submitting an investor qualification form, opening a connected brokerage account, linking your account to our AI trading system, or engaging with any of our managed trading, copy trading, or algorithmic execution services, you confirm that you have read, understood, and unconditionally agree to be bound by these Terms in full, together with our Privacy Policy and Risk Disclaimer.

If you do not agree to these Terms, you must not use our website, submit any application, or connect any trading account to our system.


2. Nature of Services and Important Clarifications

2.1 What We Are

AlgoTradingSoftware.net operates as a technology-driven structured trading system that executes algorithmic strategies across selected forex currency pairs, primarily GBPJPY and AUDUSD, on behalf of connected client accounts. Our model is performance-based — we earn only when you profit.

2.2 What We Are Not

We are not any of the following:

  • A licensed fund manager, hedge fund, or registered investment adviser
  • A regulated financial institution, bank, or asset management company
  • A broker-dealer or exchange
  • A guaranteed return investment scheme or capital protection product

2.3 Technology Provider Disclaimer

Our AI trading system is a sophisticated algorithmic execution tool. All trading activity is carried out via your own brokerage account, which remains under your ownership and control at all times. We do not hold, custody, or manage client funds directly. We do not have withdrawal rights over your account. Your capital is held exclusively by your chosen regulated broker.

2.4 No Financial Advice

Nothing on our website, in our consultations, in performance reports, in marketing materials, or in any communication from our team constitutes financial advice, investment advice, tax advice, or a solicitation to invest. All information is provided for informational and educational purposes only.


3. Eligibility and Investor Qualification

3.1 General Eligibility Requirements

To participate in our system, you must:

  • Be at least 18 years of age or the legal age of majority in your jurisdiction
  • Have the legal capacity to enter into binding contracts in your country of residence
  • Have read and understood our Risk Disclaimer in full
  • Meet the minimum capital requirement as specified on our Pricing and Investor Qualification pages
  • Pass our investor qualification assessment confirming your risk tolerance and suitability
  • Not be a resident of any jurisdiction where participation in such services is prohibited by applicable law

3.2 Minimum Capital

A minimum account balance as stated on our website at the time of onboarding is required to connect to the system. We reserve the right to adjust minimum capital thresholds at any time. Accounts falling below the minimum threshold during active trading may be disconnected from the system at our discretion.

3.3 Geographic Restrictions

Our services are not available to residents of jurisdictions where the receipt of such services would be contrary to local laws or regulations. It is your sole responsibility to ensure that your participation is lawful in your country of residence and/or citizenship. We reserve the right to decline or terminate service to any applicant or client based on geographic or regulatory grounds.

3.4 Suitability

Forex trading carries substantial risk and is not suitable for all investors. We reserve the right to decline any applicant who, in our assessment, does not demonstrate the financial capacity, risk tolerance, or understanding necessary to participate responsibly.


4. Service Terms

4.1 How the System Operates

Our AI-powered trading system operates as follows:

  • Step 1 — You open a trading account with our approved introducing broker partner
  • Step 2 — You connect your account to our system via MT4/MT5 credentials or an approved copy trading link provided during onboarding
  • Step 3 — Our AI system autonomously executes trades on GBPJPY and AUDUSD based on its signal generation logic, risk filters, and position sizing algorithms
  • Step 4 — Profits generated are subject to a performance-based fee split as described in Section 5

4.2 Autonomous Execution

Once your account is connected, our system operates with full algorithmic autonomy during active trading sessions. You understand and accept that:

  • Trades are placed and managed automatically without requiring your real-time approval for individual orders
  • You will not be consulted before each trade is executed
  • The system may hold positions overnight, across weekends, or across multiple sessions as dictated by its strategy logic
  • You retain the ability to disconnect your account at any time, as described in Section 4.5

4.3 Currency Pairs

The system currently focuses on GBPJPY and AUDUSD. These pairs were selected based on their volatility profiles, liquidity characteristics, and the demonstrated edge of our AI model on these instruments. We reserve the right to add, remove, or adjust the currency pairs traded by the system at any time, with reasonable notice to connected clients.

4.4 Human Oversight

While our system is algorithmically driven, the Company maintains active human oversight of system performance, risk parameters, and market conditions. In exceptional circumstances — including but not limited to extreme market volatility, geopolitical events, broker technical failures, or system anomalies — our team may intervene to pause, adjust, or override trading activity in the interest of risk management.

4.5 Client Control and Account Ownership

You retain full ownership and control of your brokerage account at all times. You may:

  • Monitor your account balance, open positions, and trading history directly through your broker’s platform
  • Set your own stop-loss or equity stop at the broker level
  • Disconnect your account from our system at any time by revoking API access or notifying us in writing at info@algotradingsoftware.net
  • Withdraw funds directly from your broker account at any time, subject to broker withdrawal terms and any open positions

The Company does not have the ability to withdraw funds from your account. We do not hold power of attorney over client funds.

4.6 System Availability

We strive to maintain continuous system uptime; however, we do not guarantee uninterrupted service availability. The system may be temporarily offline due to:

  • Scheduled maintenance windows
  • Broker API changes or outages
  • Technical upgrades or emergency risk interventions
  • Force majeure events

We will make reasonable efforts to notify connected clients of planned downtime in advance.


5. Profit Share Agreement

5.1 Performance-Based Fee Structure

AlgoTradingSoftware.net operates on a profit share model. We do not charge flat monthly fees, management fees, or subscription charges. Our compensation is derived exclusively from a percentage of net profits generated in your account.

The profit share percentage applicable to your account will be clearly disclosed during onboarding and confirmed in your account agreement. Current profit share tiers range between 30% and 40% of net realized profits, depending on account size and terms agreed at the time of enrollment.

No profit = No fee. You only pay when you make money.

5.2 High-Water Mark Principle

Our profit share is calculated on a high-water mark basis. This means:

  • A performance fee is only charged on new net profits above the highest previously recorded equity level in your account
  • If your account experiences a drawdown period, no performance fee is charged until all prior losses have been recovered and new profit highs are achieved
  • The high-water mark resets only upon achieving a new equity peak above all previous recorded levels

This structure ensures that you are never charged a performance fee on the same profits twice and that we are aligned with your long-term account growth.

5.3 Profit Calculation Methodology

Net profit is calculated as:

Net Profit = Gross Realized Gains − Broker Commissions − Swap/Rollover Fees − Any Applicable Spreads

Unrealized floating profits or losses on open positions are excluded from profit calculations. The settlement period for profit share calculations will be disclosed at the time of onboarding (typically monthly or quarterly).

5.4 Profit Share Collection

The performance fee is collected via one of the following methods as agreed during onboarding:

  • Direct transfer from your account balance (where authorized via IB rebate or internal settlement)
  • Invoice issued to you for settlement within 5 business days of the period end
  • Automatic deduction via the broker’s managed account infrastructure

5.5 Disputed Profit Calculations

If you believe a profit share calculation is incorrect, you must submit a written dispute to info@algotradingsoftware.net within 7 calendar days of receiving the settlement statement. Disputes raised after this window will not be considered. All calculations will be verified against broker-confirmed trade history.

5.6 Modification of Profit Share Terms

We reserve the right to revise profit share percentages for new enrollments at any time. Existing clients will be notified of any changes to their agreed profit share structure with a minimum of 30 days’ written notice. You may terminate your participation if you do not accept revised terms, without penalty.


6. Withdrawal Terms

6.1 Trading Account Withdrawals

Your funds are held entirely within your own brokerage account. You have the right to withdraw funds at any time, subject to:

  • Your broker’s withdrawal processing procedures, minimum withdrawal amounts, and identity verification requirements
  • The status of any open positions — withdrawals that reduce margin below required levels may trigger forced position closures by your broker
  • Any agreed lock-up period disclosed at the time of enrollment (if applicable)

AlgoTradingSoftware.net has no authority to block, delay, or prevent withdrawals from your trading account.

6.2 Effect of Withdrawals on Profit Share

Withdrawals that reduce your account balance below the high-water mark will be noted and factored into profit share calculations in the following settlement period. Significant capital withdrawals may affect the system’s ability to execute strategies at optimal position sizes.

6.3 Partial Withdrawals

You may make partial withdrawals from your account while remaining connected to the system, provided your remaining balance meets the minimum capital threshold. If your balance falls below the minimum threshold following a withdrawal, your account may be disconnected from the system pending a top-up.

6.4 Full Withdrawal and Exit

If you choose to withdraw all funds and exit the system:

  • Any outstanding profit share owed for the period up to the date of full withdrawal will be calculated and collected prior to or at the time of disconnection
  • Your account will be disconnected from the system within 1–3 business days of your written exit notice
  • Your brokerage account remains yours to retain, close, or use independently

6.5 No Exit Penalties

We do not impose exit fees, early termination penalties, or lock-up penalties unless a specific lock-up arrangement has been disclosed and agreed upon in writing at the time of enrollment.


7. Introducing Broker (IB) Model and Broker Partnership

7.1 IB Relationship Disclosure

AlgoTradingSoftware.net operates an Introducing Broker (IB) arrangement with one or more regulated forex brokers. When you open a trading account using our referral link or onboarding process, the Company may receive an IB commission from the broker based on trading volume generated by your account.

This commission is paid by the broker and does not constitute an additional charge to you. IB commissions are a standard industry practice and do not affect the spread or trading conditions offered to you.

7.2 Broker Selection and Regulation

We partner exclusively with regulated brokers who meet our infrastructure and execution standards. Details of our current broker partner(s), including their regulatory status and jurisdiction, are disclosed on our Broker Partnership page. You are encouraged to independently verify the regulatory credentials of any broker before opening an account.

7.3 Client Ownership of Broker Account

Your broker account is opened in your own name and under your own regulatory relationship with the broker. The Company is not a party to your broker agreement. All client funds are held by the broker in accordance with the broker’s own segregation and regulatory requirements.

7.4 Broker Risk

The Company is not responsible for the financial stability, regulatory compliance, technical performance, or business continuity of any third-party broker. If a broker becomes insolvent, is de-regulated, or ceases operations, your funds are subject to the broker’s own investor protection arrangements.


8. Risk Disclosure and Liability Limits

8.1 Trading Risk Warning

FOREX TRADING INVOLVES A HIGH LEVEL OF RISK AND MAY NOT BE SUITABLE FOR ALL INVESTORS. LEVERAGE CAN WORK AGAINST YOU AS WELL AS FOR YOU. YOU MAY LOSE SOME OR ALL OF YOUR INVESTED CAPITAL. DO NOT INVEST MONEY THAT YOU CANNOT AFFORD TO LOSE.

You acknowledge and fully understand that:

  • Currency markets are highly volatile and can move sharply and unpredictably
  • Algorithmic systems, regardless of their historical performance, can experience drawdowns, losing streaks, or failure in adverse market conditions
  • Past verified performance, including Myfxbook or FXBlue track records, is not a guarantee of future results
  • GBPJPY and AUDUSD carry specific volatility and liquidity risks that may result in rapid capital loss under certain conditions
  • Gap risk, slippage, and execution delays at the broker level may affect trade outcomes independently of system signals

8.2 Who Should NOT Participate

You should not connect your account to our system if:

  • You cannot afford to sustain a partial or total loss of your trading capital
  • You require guaranteed returns or capital protection
  • You are investing borrowed money, emergency savings, or funds needed for living expenses
  • You do not understand how leveraged forex trading works
  • You are under financial, emotional, or psychological stress that affects your judgment

8.3 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALGOTRADINGSOFTWARE.NET, ITS PRINCIPALS, EMPLOYEES, AFFILIATES, TECHNOLOGY PARTNERS, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Any trading losses, drawdowns, or capital depletion arising from the operation of the AI trading system
  • Any losses resulting from broker execution quality, slippage, spread widening, or connectivity failures
  • Any technical interruption, system downtime, or execution failure beyond our reasonable control
  • Any indirect, consequential, incidental, or punitive damages of any nature
  • Any reliance placed on performance data, projections, or case studies presented on our website

8.4 Maximum Liability Cap

Where liability cannot be fully excluded under applicable law, our total aggregate liability to you for all claims arising from or related to these Terms or your use of our Services shall not exceed the total performance fees paid by you to AlgoTradingSoftware.net in the six (6) months preceding the event giving rise to the claim.

8.5 Indemnification

You agree to indemnify and hold harmless AlgoTradingSoftware.net, its officers, directors, and employees from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your breach of these Terms, your violation of applicable law, or any dispute between you and your broker.


9. Representations and Warranties

By enrolling in our system, you represent and warrant that:

  • All information provided during onboarding and qualification is accurate, current, and complete
  • You are participating with capital that you own and that is free from encumbrance
  • You have not been induced by any guarantee of profit or capital protection
  • You understand that algorithmic trading does not eliminate market risk
  • You will promptly notify us of any change in your financial circumstances that may affect your suitability
  • You are not acting on behalf of a third party without proper legal authority to do so

10. Confidentiality

10.1 System Confidentiality

You acknowledge that the AI trading system’s logic, signal generation methodology, risk parameters, position sizing algorithms, and execution architecture constitute proprietary and confidential intellectual property of AlgoTradingSoftware.net. You agree not to:

  • Attempt to reverse-engineer, replicate, or decode the system’s strategy
  • Share, disclose, or publish system logic, trade signals, or proprietary data to third parties
  • Use insights gained from observing system trades to independently replicate our strategy outside of your connected account

10.2 Client Confidentiality

We will maintain the confidentiality of your personal and account information in accordance with our Privacy Policy.


11. Intellectual Property

All content on algotradingsoftware.net, including but not limited to the trading system’s logic and algorithms, website design, performance reports, brand materials, logos, trademarks, and written content, is the exclusive intellectual property of AlgoTradingSoftware.net and is protected under applicable UAE and international intellectual property laws.

Your access to our platform does not grant you any ownership rights or licenses beyond what is expressly stated in these Terms.


12. Amendments to These Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days’ prior notice via email to your registered address and/or a prominent notice on our website. Your continued participation in the system following the effective date of any revision constitutes your acceptance of the updated Terms. If you do not accept revised Terms, you may exit the system without penalty as described in Section 6.4.


13. Governing Law and Jurisdiction

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates, without regard to conflict of law provisions.

13.2 Dispute Resolution

Both parties agree to attempt resolution of any dispute through good-faith negotiation within 30 days of written notice of a dispute submitted to info@algotradingsoftware.net.

13.3 Arbitration

Unresolved disputes shall be submitted to binding arbitration under the rules of the Dubai International Arbitration Centre (DIAC), conducted in English in Dubai, UAE. The arbitral award shall be final and binding on both parties.

13.4 Jurisdiction

For matters requiring urgent injunctive relief or enforcement of intellectual property rights, both parties submit to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates.

13.5 Class Action Waiver

All disputes must be resolved on an individual basis. You waive any right to bring or participate in class action proceedings against the Company.


14. Severability and Entire Agreement

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force. These Terms, together with the Privacy Policy, Risk Disclaimer, and any written enrollment agreement, constitute the entire agreement between you and AlgoTradingSoftware.net with respect to the subject matter herein.
